1. Agreement
These Terms govern your use of TraceOn — the mobile app, the web dashboard, and the related backend services — operated by Appseed Technologies Private Limited ("TraceOn", "we", "us").
By using TraceOn, you agree to these Terms. If you do not agree, do not use the service.
TraceOn is provided to organisations. If you are using it as an employee, your organisation has a separate agreement with us, and that agreement governs the commercial relationship. Where these Terms and that agreement conflict, that agreement takes precedence for matters between us and your organisation.
2. Who can use TraceOn
TraceOn is a workplace tool. You may use it only if:
- Your employer has an active TraceOn subscription, and
- Your employer has issued you an account
You cannot register for TraceOn yourself. Accounts are created by your organisation's administrator. You must be at least 16 years old.
3. Your account
Your account is personal to you.
- Keep your password confidential and do not share it.
- Do not let anyone else use your account, and do not use anyone else's.
- Tell your employer's administrator immediately if you believe your account has been accessed without your permission.
- You are responsible for activity carried out through your account.
Your administrator can reset your password, change your role, or deactivate your account at any time.
4. Location tracking — what you are agreeing to
This is the core of the service, so please read it carefully.
- While you are checked in, TraceOn records your device's location, including when the app is in the background.
- Location readings are taken at an interval configured by your employer.
- Recording begins when you check in and stops when you check out.
- Your employer, and managers responsible for you, can see this location history.
- Your device will display a persistent notification while tracking is active.
Your employer is responsible for telling you why it tracks location, obtaining any consent required by local law, and complying with employment and privacy law in your jurisdiction. If you have concerns about being tracked, raise them with your employer — we cannot change your organisation's policy.
You can withdraw location permission in your device settings at any time. Doing so will prevent you from recording attendance.
5. Acceptable use
You must not:
- Falsify attendance or location data, including by using mock location, GPS spoofing, or location simulation tools. The service records when a location reading appears to be simulated.
- Check in or out on behalf of another person, or ask anyone to do so for you.
- Attempt to access data belonging to other employees or other organisations.
- Reverse engineer, decompile, or tamper with the app or our APIs, except where the law expressly permits it.
- Probe, scan, or test the security of the service without our written permission.
- Use automated tools to access the service outside our documented APIs.
- Overload, disrupt, or interfere with the service or its infrastructure.
- Use TraceOn for any unlawful purpose.
We may suspend or terminate access for breach of this section.
6. If you are an administrator
If you administer TraceOn for an organisation, you additionally agree that:
- You have authority to act for your organisation.
- You will create accounts only for people your organisation is entitled to monitor.
- You will inform employees that their location and attendance are tracked, and obtain any consent or complete any notification required by law before enabling tracking.
- You are the data controller for employee data in your account, and you are responsible for complying with applicable employment and data protection law.
- You will set a location tracking frequency proportionate to your legitimate business need.
- You will promptly deactivate accounts for people who leave your organisation.
- You are responsible for what people you grant administrator or manager access do with that access.
7. Availability
We work to keep TraceOn available, but we do not guarantee uninterrupted service. We may suspend access for maintenance, updates, or emergencies. Service level commitments, if any, are in your organisation's agreement with us.
Location accuracy depends on your device, your operating system, network conditions, and device power settings. Battery optimisation, permission changes, and OS restrictions can interrupt background tracking. We do not warrant that location data is complete or accurate to any particular degree.
If you check in or out while your device has no network connection, that activity is stored on your device and uploaded when connectivity returns. Until it uploads, it will not appear in your employer's dashboard. Uninstalling the app or clearing its data before it uploads will permanently discard that activity.
8. Our intellectual property
TraceOn, including the apps, dashboard, APIs, and branding, is owned by us and protected by intellectual property law. We grant you a limited, personal, non-transferable, revocable licence to use the app for your work while your account is active. You get no other rights.
9. Your organisation's data
Your organisation owns the data it puts into TraceOn. We use it only to provide the service, as described in our Privacy Policy and your organisation's agreement with us.
10. Third party services
TraceOn uses third party services, including Google Firebase for push notification delivery. Your use of TraceOn is also subject to those providers' terms. We are not responsible for third party services.
11. Disclaimers
To the maximum extent permitted by law, TraceOn is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We specifically do not warrant that location or attendance records are accurate or complete enough to be used as the sole basis for disciplinary action, payroll calculation, or legal proceedings. Your organisation is responsible for verifying data before relying on it for such purposes.
12. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of TraceOn.
Our total liability arising out of or relating to TraceOn is limited to the amount your organisation paid us in the [12] months before the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot be excluded by law.
13. Indemnity
Your organisation agrees to indemnify us against claims, losses, and costs arising from its use of TraceOn in breach of these Terms or in breach of applicable employment or data protection law, including claims brought by its employees.
14. Suspension and termination
We may suspend or terminate access if these Terms are breached, if your organisation's subscription ends or is unpaid, or if we are required to by law.
Your employer may deactivate your account at any time. When your organisation's account ends, its data is handled as set out in its agreement with us.
You may stop using TraceOn at any time by uninstalling the app, though your employer may require you to use it as a condition of employment. That is a matter between you and your employer.
15. Changes to these Terms
We may update these Terms. When we do, we will change the "Last updated" date, and we will tell you about significant changes through the app or by email. Continuing to use TraceOn after a change means you accept the updated Terms.
16. Governing law
These Terms are governed by the laws of [JURISDICTION], and the courts of [CITY, JURISDICTION] have exclusive jurisdiction over any dispute, without regard to conflict of law rules.
17. General
If any provision of these Terms is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver of it. You may not transfer your rights under these Terms; we may transfer ours in connection with a merger, acquisition, or sale of assets.
